Where each number comes from

From the 8-K with item 2.02 ("Results of Operations and Financial Condition"), the form a listed company uses to report results to the SEC. The dates are the ones on that filing in EDGAR. The time is converted to New York time using this specific company's stamp convention (its EDGAR stamp arrives in UTC), and it is not assumed: it is derived from the hours in which EDGAR accepts filings.

A quarter enters this table when both things exist: the announcement and the report filed afterwards. That pairing is what separates the earnings announcement from the other item 2.02 8-Ks the same company may file (production figures, monthly sales, or the same announcement duplicated by its filing agent). Without it, the answer to "before or after?" comes out contaminated.

What this data does not know

  • The exact time of the press release. The 8-K reaches EDGAR after the release goes out, minutes or hours later, so the time on this page is an UPPER BOUND. The classification answers which session the news landed in, not what minute it was said: an announcement at 15:50 whose 8-K arrives at 16:20 shows here as "after the close".
  • Nothing before March 2003. Item 2.02 has existed since 23 August 2004; between 28 March 2003 and that date the same content was filed as "item 12" under the old numbering and is included too. Before that there was no dedicated earnings item and the releases were mixed into item 5.
  • What will happen. Every date in the table already happened. The only future date on this page is the one the company itself announced through the public Nasdaq calendar, it is labelled as such, and companies do move it. No prediction comes out of the measured habit: twelve consecutive after-the-close reports do not say the next one will be the same.
  • This company's identity is its SEC CIK (0000034088), not its symbol. Symbols get recycled and renamed, and the same CIK can carry two share classes.
